Affle 3i Limited has signed a definitive agreement, through its Israel-based step-down subsidiary Affle 3iL Ltd., to acquire Perion Network Limited in an all-cash deal. The offer of US$11.70 per share values Perion at an implied equity value of approximately US$420 million.

The move is designed to stretch Affle’s cost-per-converted-user business beyond its emerging-markets strength into developed markets, while layering Perion’s upper-funnel channels onto Affle’s performance-led mobile stack.

What Affle is buying

Perion, headquartered in Tel Aviv, runs an AI-powered omnichannel advertising business with a strong North American footprint. Its portfolio spans retail media, connected TV and digital out-of-home, and it is dual-listed on Nasdaq and the Tel Aviv Stock Exchange. Over the past three years Perion has completed three strategic acquisitions and brought its segments together under its Perion One platform.

Perion also arrives debt-free, with a cash balance of roughly US$228 million as of September 30, 2026. Affle plans to fund the transaction through committed bank financing and available cash, and expects to remain net debt-free immediately after closing.

Why the deal matters

The transaction combines two halves of the marketing funnel. Affle brings deeper-funnel mobile marketing and CPCU-driven consumer conversion, largely in emerging markets. Perion adds upper-funnel reach in developed markets through retail media, CTV and DOOH. After the deal, Affle expects to serve thousands of advertisers across more than 100 countries.

“This is an important step in strengthening our CPCU business across Developed Markets,” said Anuj Khanna Sohum, Chairperson, Managing Director and CEO of Affle.

For marketing teams, that structure is a useful way to read adtech mergers: the buyer is not only buying revenue, it is buying the top of the funnel it lacks. Affle’s stated ambition is to turn upper-funnel formats into conversion outcomes, with CTV-to-Cart and DOOH-to-Cart solutions for advertisers.

The numbers to watch

  • Deal value: approximately US$420 million implied equity value, at US$11.70 per share in cash.
  • Perion’s cash position: around US$228 million, with no financial debt, as of September 30, 2026.
  • Revenue ambition: more than US$700 million revenue run rate by FY2028.
  • Timeline: expected to close in early 2027, subject to regulatory and shareholder approvals.

What changes after closing

The transaction is structured as a reverse triangular merger. A wholly owned subsidiary of Affle will merge with Perion, which survives as a wholly owned Affle subsidiary. Perion’s ordinary shares will be delisted from Nasdaq and the Tel Aviv Stock Exchange, while the business continues under the Perion brand.

Affle also plans to review Perion’s contracts and revenue recognition approach to bring them in line with its CPCU model. The company says complementary technology and a focus on profitability should make the deal earnings-per-share accretive by the end of the first year after closing.

What to watch

Marketing teams that buy or operate retail media, CTV or DOOH should treat the integration as a pricing and measurement event. Ask account leads how performance guarantees change if Perion contracts are re-aligned to a CPCU model, and track how CTV-to-Cart and DOOH-to-Cart are operationalised before committing budgets.
